Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by Command Tempo Pte. Ltd. (UEN 202625972K) ("Command Tempo", "we", "us", or "our"). By accessing our website, engaging our services, or receiving messages sent through our platform, you agree to be bound by these Terms. If you do not agree, please do not use our services.

If you are entering into these Terms on behalf of a business or other organisation, you represent that you have the authority to bind that entity to these Terms.

2. Our Services

Command Tempo is a Singapore-based software company. We design, build, host, and maintain custom workflow tools for businesses. Some of our services include messaging and automation delivered via the WhatsApp Business Platform (operated by Meta Platforms, Inc.) and integrations with other tools our clients use.

The specific scope, deliverables, fees, and timelines for any engagement are set out in a separate proposal, order form, or service agreement between us and the client. Where those documents conflict with these Terms, the signed service agreement prevails for that engagement.

3. Eligibility

Our services are intended for businesses and individuals aged 18 or over. By using our services you confirm that you meet these requirements and that the information you provide to us is accurate and complete.

4. Client Accounts and Responsibilities

If you are a client, you are responsible for:

  • Providing accurate information and any access we reasonably need to deliver the services
  • Obtaining all necessary consents from your own customers before we send messages on your behalf (including opt-in consent for marketing messages)
  • Ensuring your use of the services and the content you send comply with applicable laws and the policies of any platform involved (including Meta/WhatsApp)
  • Keeping any credentials or access we provide secure and confidential

5. Acceptable Use

You agree not to use our services to:

  • Send spam, unsolicited messages, or content to recipients who have not consented to receive it
  • Send unlawful, fraudulent, deceptive, harassing, hateful, or otherwise objectionable content
  • Infringe the intellectual property, privacy, or other rights of any third party
  • Distribute malware, attempt to gain unauthorised access to our systems, or interfere with the operation of the services
  • Violate any applicable law or any third-party platform policy (including the WhatsApp Business Messaging Policy and Meta's Commerce and Business policies)

We may suspend or terminate access to the services if we reasonably believe these terms are being breached.

6. Messaging Services, WhatsApp and Meta

Where we provide messaging or automation via the WhatsApp Business Platform, your use is also subject to Meta's applicable terms and policies. We are an independent technology provider and are not affiliated with, endorsed by, or a partner of Meta Platforms, Inc. Meta may change, suspend, or discontinue aspects of the WhatsApp Business Platform at any time, and we are not liable for changes outside our control.

You and your customers remain responsible for compliance with messaging consent and opt-out requirements. Recipients can opt out at any time as described in our Privacy Policy.

7. Fees and Payment

Fees for our services (such as setup fees, monthly fees, and any usage-based costs) are set out in the applicable proposal or service agreement. Unless stated otherwise: fees are exclusive of applicable taxes; usage-based third-party costs (for example, AI/API or messaging charges) are billed in addition to our fees; and invoices are payable by the due date stated. We may suspend services for overdue amounts after reasonable notice.

8. Intellectual Property

We retain all rights, title, and interest in our platform, software, tools, templates, and underlying technology, including any improvements developed in the course of providing the services. Unless your service agreement states otherwise, you receive a non-exclusive, non-transferable right to use the deliverables for your business during the term.

You retain ownership of the content and data you provide to us. You grant us the rights necessary to use that content and data to provide and improve the services.

9. Third-Party Services

Our services may rely on or integrate with third-party services (such as Meta/WhatsApp, hosting providers, payment processors, and other tools you use). Your use of those services is governed by their own terms, and we are not responsible for their availability, performance, or practices.

10. Data Protection

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. Where we process personal data on a client's behalf, we do so as a data processor in accordance with the client's instructions and applicable law (including Singapore's PDPA).

11. Disclaimers

Our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that messages will always be delivered, as delivery depends on third-party platforms and networks.

12. Limitation of Liability

To the maximum extent permitted by law, Command Tempo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the services will not exceed the fees paid by you to us for the services in the three (3) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Command Tempo and its officers, directors, and employees from any claims, damages, liabilities, and expenses arising from your breach of these Terms, your content, or your violation of any law or third-party right (including failure to obtain required consents from message recipients).

14. Term and Termination

These Terms apply while you use our services. Any minimum term, renewal, and termination rights for a paid engagement are set out in the applicable service agreement. We may suspend or terminate access if you materially breach these Terms. On termination, the rights granted to you cease, though provisions that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, and indemnity) will continue to apply.

15. Governing Law

These Terms are governed by the laws of Singapore, and you submit to the exclusive jurisdiction of the courts of Singapore in relation to any dispute arising out of or in connection with them.

16. Changes to These Terms

We may update these Terms from time to time. We will update the effective date above and, where the change is material, take reasonable steps to notify clients. Your continued use of the services after an update constitutes acceptance of the revised Terms.
